Main Definitions

1. “Ingivelse AB” - the limited company registered in Sweden.
2. “PROOFIP” - the registered trademark and service that is belonged to Ingivelse AB and provides timestamping.
3. "Website" - means the PROOFIP website, located at www.proofip.se/com.
4. "Timestamping" - is a service issuing electronic timestamps. Timestamps confirm that certain data exist at a certain time.
5. “Service” - means the PROOFIP services, including but not limited to the electronic timestamping of digital data, the verification of digital data, the issuance of a document certifying that digital data existed at a particular time.
6. “User” - shall mean any legal entity or natural person over 18 years of age, to whom a timestamp, document or other product is issued, including any recipient of a timestamp, document, or other product who relies on the timestamp, document or other product.
7. ”Parties” – are Ingivelse AB and the User.
8. “Digital File” - means any digital data that the User requests to be timestamped by the Service.
9. "Certificate" - means a document issued by PROOFIP with data enabling to create electronic time and identity verification and where the public key is linked to the natural or legal person who owns the Certificate.
10. “Personal Data” - data relating to an identified or identifiable individual.
11. “Subscriber Agreement” - means an agreement that is automatically entered into the force between Ingivelse AB and the User in relation to the using the Service as the User pass the registration / subscription on the Website. The Subscriber Agreement is comprised from this General Terms of Use, Pricing policy / packages of the Service and amendments thereto. The Subscriber Agreement defines and includes the User's data, used services, prices and other special individual provisions.

Acceptance of Terms and Conditions

1. By using the Website and the Service, the User agrees to be bound by the following General Terms of Use, the Privacy Policy, Pricing policy / packages, which together constitute the Subscriber Agreement.
2. In the event of any violation of the Subscriber Agreement, Ingivelse AB may block or terminate access of the User to the Service.

User Registration. Subscription

1. For using the Service, the User must create an account at PROOFIP. The User will create a login name and a password. The User may not use an account of another legal entity or person.
2. The User may not disclose or share his/her access data for any unauthorized purposes. The User obliges to notify Ingivelse AB of any unauthorized disclosure of account information. The User will be responsible for maintaining the confidentiality of his/her login information.

Obligations of the User

1. The User shall be responsible for ensuring the accuracy of the information provided to Ingivelse AB and based on its solely responsibility, ensure that the information is updated whenever necessary. Ingivelse AB does not control/endorse the veracity of the information provided by the User.
2. The User represents and warrants that all of the information provided by the User to Ingivelse AB is true, accurate and complete, and that the User have legal right to use the email address(es), bank account and other resources for using the Service. The User agree to maintain the confidentiality of its account and is responsible for all activities that occur under account.
3. The User shall not disrupt the Service, including not to attempt to process anything through the Service that contains malware or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of the Service. The User shall not use the Service for any purpose that is unlawful.
4. The User shall not attempt to gain unauthorized access to the Service, including through the use of another User’s account.
5. The User shall not attempt to represent any other third party (individual or legal entity), without their written explicit authorization for using the Service.
6. The User shall assume sole responsibility for the content of the Digital File provided to the Service.
7. The User shall assume sole responsibility for storage and maintenance of the Digital File necessary for the verification. The verification shall be done on the Website.
8. The User shall not assign any rights or delegate any obligations from this Subscriber Agreement to any third party without written consent of Ingivelse AB. Any attempted assignment or delegation will be void.

Obligations of Ingivelse AB

1. Ingivelse AB obliges to operate PROOFIP and the Service in accordance with the Subscriber Agreement and take all necessary measures to ensure maximum availability and effectiveness of the Service. Sometimes the Service could be unavailable due to its scheduled maintenance, preliminary information about which will be published on the Website.
2. Ingivelse AB shall publish all notices on the Website for all Users about changing the scope and/or terms of the Services. Unless other stated in the notice, the change will take into the power in 2 months after the date of such publication.

Timestamp Type and Usage

1. The timestamping Service works according to the protocol IETF RFC 3161 and / or its newer versions. The hashing algorithms accepted for representing the Digital File to be timestamped is SHA256. Services conforms ETSI standards.
2. PROOFIP provides electronic timestamping in accordance with eIDAS Regulation (EU) 910/2014 of the European Parliament and of the Council of 23 July 2014 on electronic identification and trust services for electronic transactions in the internal market and repealing Directive 1999/93/EC.
3. PROOFIP ensures that its clock is synchronized with Coordinated Universal Time (UTC) within the accuracy of 1 second.
4. Timestamping logs are stored at Ingivelse AB and retained for at least 10 years.

Pricing policy

1. The Service may be charged. The amount of payment will depend on the volume of the provided Service. Pricing policy and pricing packages of the Service are published on the Website.
2. Ingivelse AB may change the prices at any time at its sole discretion. Any of such changes shall take into the power in one month after proper notification, unless otherwise directly provided.
3. Except in cases of overpayment, the fees paid are not refundable to the User. In particular, Ingivelse AB will not refund any unused portion of the Service's package.
4. All pricing packages available from the date of their purchase and are active within a respective package's period. At the end of the respective pricing package’s period, unused tokens will expire without any refund.

Intellectual Property Rights

1. Ingivelse AB guarantees that it never gets access to the content of the User's Digital File.
2. Not any intellectual property rights of the User are never could be transferred to Ingivelse AB within any use of the Service. The User always retains the intellectual property rights that he/she has in relation to the Digital File.

Disclaimer. Limitations on Liability

1. Ingivelse AB does not provide any express or implied representations or warranties relating to the Service. In particular, Ingivelse AB does not guarantee any usability of the Service for specific purposes, inter alia, for concrete legal purposes such as evidence before concrete authorities or courts of any specific jurisdiction. All content of the Website do not constitute legal advice and should not be relied upon in making (or refraining from making) any decision. The use and the utility of the Service is at the sole discretion of the User.
2. Ingivelse AB will not be liable and will not be deemed to as defaulted this Subscriber Agreement in the event of any delays, disruptions or interruptions in the provision of the Service, directly or indirectly caused by any reason or circumstance beyond the reasonable control of Ingivelse AB.
3. Ingivelse AB is not going to be responsible for any possible consequences of using the Service. Ingivelse AB shall not be liable for any indirect, incidental, consequential, liquidated, special, punitive or exemplary damages or penalties to the User, including, but not limited to any losses of revenue or profits, that could be perceived as a consequence of use of the Service.

Confidential / Privacy Policy

1. Ingivelse AB is committed to ensuring the highest level of protection of Personal Data. Personal Data processed by PROOFIP is handled in accordance with the General Data Protection Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data (GDPR). Modifications

1. Ingivelse AB may modify the General Terms of Use / Subscriber Agreement at any time at its sole discretion. Any changes will be published on the Website. Users shall be responsible for reviewing and becoming familiar with any such changes. Unless stated otherwise, modifications are effective immediately upon their publication on the Website.

Dispute Resolution. Procedure and applicable Law

1. Any dispute between Ingivelse AB and the User arising out of or relating to the Services, that cannot be resolved by negotiation, shall be submitted to conciliation in accordance with the UNCITRAL Conciliation Rules. The place of conciliation shall be Stockholm, Sweden. The language in the conciliation shall be English or Swedish.
2. If such dispute will not been settled with the conciliation, it shall, upon the filing of a Request for Arbitration by either party, be referred to and finally determined by arbitration in accordance with the UNCITRAL Arbitration Rules. The place of arbitration shall be Stockholm, Sweden. The language in the arbitral proceedings will be English or Swedish. Any arbitration award rendered as a result of such arbitration will be the final adjudication of such a dispute, and the Parties will be bound by it.
3. These General Terms of Use and all what is included into the Subscriber Agreement are governed by Swedish law.
4. Ingivelse AB assumes no responsibility, obligation and does not provide any guarantees in relation to any disputes between the User and a third party that may arise in connection with the use of the Service.

Cancellation

1. The User can cancel its account at any time and is solely responsible for its proper cancellation. All information from the account will be immediately deleted from the Services and can not be recovered once your account is cancelled. If the User cancel the Service before the end of current paid up period, cancellation will take effect immediately and the User will not be refunded for the unused period.
